Pursuant to European legislation, it will probably be possible to incorporate a BV digitally as of 1 August this year.
The European Directive as regards the use of digital tools and processes in company law will make our company law a little more digital. On the basis of this Directive, this summer you will no longer need to physically go to a civil-law notary to have a private limited company under Dutch law incorporated.
However, the role of the civil-law notary remains as important as ever, in view of legal certainty, legal protection and the prevention of fraud and abuse. A digital deed must therefore be drawn up. Identification and signing must also be made possible digitally. The notarial practice is currently working on this. This may also pave the way for further digitalisation of other notarial services.
